Ambar Wins Court Approval for Amazonas Utility Deal

By Brazil Stock Guide – A Brazilian federal court approved an agreement allowing Ambar Energia to assume control of the Amazonas power distributor, paving the way for the company’s expansion into electricity distribution. The decision on Monday (30) resolves a regulatory dispute involving Brazil’s electricity regulator, Aneel.

The agreement, reached in September after earlier objections from Aneel, establishes the conditions for Ambar—controlled by Joesley and Wesley Batista—to take over operations of the financially troubled utility.

Under the terms, Ambar must inject 9.8 billion reais ($1.9 billion) in the short term to reduce the distributor’s debt burden. In exchange, the company will benefit from regulatory flexibility, including adjustments to energy loss thresholds and operating cost parameters.

These concessions are expected to generate multi-billion-real impacts for electricity consumers over a 15-year period, reflecting the long-term financial implications embedded in the deal.

Federal Judge Jaiza Maria Pinto Fraxe upheld the agreement, stating: “I verify that the agreement was entered into by capable parties, duly represented, and concerns available patrimonial rights, with no illegality, defect of consent, or violation of public order that would prevent its approval.”

The Amazonas distributor becomes Ambar’s first asset in the power distribution segment. The company has expanded rapidly in thermal power generation in recent years and has also announced the acquisition of Roraima Energia, reinforcing its presence in northern Brazil’s electricity market.
