By Brazil Stock Guide – Amil Assistência Médica Internacional S.A. has regained control of key healthcare assets in Rio de Janeiro after Brazil’s antitrust regulator cleared a restructuring involving its joint venture with Diagnósticos da América S.A. (Dasa). The transaction includes the Hospital Santa Lúcia and the Medicina Diagnóstica Vitória clinic, both located in Botafogo.
Brazil’s Administrative Council for Economic Defense (Cade) approved the deal without restrictions in a ruling published Monday (6). The assets were previously held by Ímpar Serviços Hospitalares S.A., a joint venture between Amil and Dasa (DASA3 BZ).
The operation effectively reverses part of a prior concentration, consolidating Amil’s control over the units. According to Cade’s technical assessment, the transaction does not pose competitive concerns and is limited to an internal reorganization of assets.
“The present operation concerns a restructuring of Ímpar’s assets, resulting only in the partial unwinding of a prior concentration and the reconsolidation of Amil’s control over the target assets,” the regulator said in its opinion.
The approval allows Amil to directly manage the hospital and diagnostic clinic again, reinforcing its operational footprint in Rio’s private healthcare market.
